Global Distributor Agreement System

Effective Date: May 16, 2026

This Agreement governs all business relationships between CX SMART FILM™ and global distributors, OEM partners, and B2B buyers. It defines legal responsibility, pricing control, territory rules, and brand protection framework.

1. Distributor Authorization

Authorization is conditional and limited to approved territories only.

• Non-transferable rights
• Performance-based review system
• Immediate revocation upon breach

2. Territory Control

Exclusivity is only valid under separate written agreement.

Multiple distributors may be appointed within the same region.

3. Pricing Policy

• Strict adherence to company pricing system
• No dumping or undercutting allowed
• Online pricing requires approval

4. Anti-Cross Region Sales

Cross-territory selling is strictly prohibited worldwide.

5. Branding Control

• All marketing materials must be approved
• Brand usage is strictly regulated
• No modification of official identity

6. Performance Requirement

Minimum purchase or sales targets may apply depending on region.

7. Supply Priority

Production priority depends on order volume and long-term cooperation level.

8. Payment Terms

• 30% deposit / 70% before shipment
• Buyer bears all bank charges

9. Confidentiality

All pricing, technical, and client data must remain strictly confidential.

10. Termination

Violation of pricing, territory, or branding rules leads to immediate termination.

11. Intellectual Property

All technology, branding, and design remain exclusive property of CX SMART FILM™.

12. Liability Limitation

Liability is limited strictly to the value of affected goods.

13. Governing Law

Governed by the laws of the People's Republic of China. Disputes handled in Changsha courts.
